These Terms of Use (“Terms”) govern your access to and use of the website located at thesis.care (the “Site”), owned and operated by Thesis Care, Inc., a Delaware corporation (“Thesis Care,” “we,” “our,” or “us”).

By accessing or using this Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use this Site. If you are accessing this Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

This Site is intended for use by individuals who are at least 18 years of age and who access the Site in connection with business, employment, or professional purposes. This Site is not directed at children under the age of 13, and we do not knowingly collect information from children under 13. This Site is intended for users located in the United States. Descriptions of our AI platform, proprietary algorithms, data processing methods, and other technology on this Site are provided at a high level for informational purposes only. Such descriptions do not constitute a disclosure of trade secrets, a license to any intellectual property, or an invitation to reverse engineer our technology. All rights in our technology remain exclusively with Thesis Care.

Any information you submit through this Site (such as contact form submissions or job applications) is governed by our Privacy Policy. By submitting information through the Site, you represent that the information you provide is accurate and that you have the right to provide it. Do not submit Protected Health Information (PHI), patient data, or other confidential health information through this Site. This Site is not designed to receive, process, or store PHI. If you are an existing client, please use the secure channels provided under your service agreement to transmit any such information.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THESIS CARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Thesis Care and its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site in violation of these Terms; (b) any information you submit through the Site that is inaccurate, misleading, or infringes the rights of a third party; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights. This indemnification obligation shall survive the termination of these Terms and your use of the Site.

12. Governing Law; Dispute Resolution; Arbitration

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to the arbitration provisions below, you agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County (Manhattan), New York, and you consent to the personal jurisdiction of such courts.

Each party waives any right to a jury trial in connection with any dispute arising out of or relating to these Terms.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in New York, New York, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THESIS CARE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE. THIS WAIVER APPLIES WHETHER THE DISPUTE IS RESOLVED IN ARBITRATION OR IN COURT.

13. DMCA Notice Procedure

If you believe that any content on this Site infringes your copyright, please send a written notice to our designated agent at legal@thesis.care containing the following information: (a) a physical or electronic signature of the copyright owner or a person authorized to act on behalf of the owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner. We reserve the right to remove any content alleged to be infringing without prior notice and at our sole discretion.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Thesis Care.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Thesis Care regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, relating to your use of the Site. These Terms do not govern the clinical support services we provide to our healthcare clients, which are subject to separate Master Services Agreements and other client-specific agreements.
